1. INTRODUCTION

Welcome to PickleballScorer, a mobile application designed to enhance your pickleball experience through scoring, statistics tracking, and social features. These Terms of Service ("Terms") constitute a legally binding agreement between you and the applicable company (as defined below) governing your access to and use of the PickleballScorer application, including any content, functionality, and services offered through the application (collectively, the "Service").

Service Provider: Depending on your location, the Service is provided by:

• For customers in India: CodeKik Technologies (registered in India)
• For customers outside India: SCOREMATIX LTD (Company Number: 16562640, registered in England & Wales)

By downloading, registering, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

2. JURISDICTION & PAYMENT PROCESSING

2.1 For Customers in India

• All payments are processed by CodeKik Technologies (registered in India)
• Indian laws shall apply to these Terms and any disputes
• Payment methods include UPI, wallets, cards, and other local payment options via Razorpay
• All prices are displayed in Indian Rupees (INR)

2.2 For Customers Outside India

• All payments are processed by SCOREMATIX LTD (registered in England & Wales)
• UK laws shall apply to these Terms and any disputes
• Payment processing is handled via Stripe
• Prices are displayed in USD or local currency as applicable

2.3 Trade Names

The Service operates under the trade name "PickleballScorer" globally, regardless of the underlying legal entity providing the service in your region.

3. ELIGIBILITY

3.1 Age Requirements

• You must be at least 5 years old to use the Service.
• If you are under 13 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
• If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian.

3.2 Registration Requirements

To create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. ACCOUNT REGISTRATION

4.1 Registration Process

To use certain features of the Service, you must register for an account by providing:

• Your first and last name
• Email address
• Optional mobile number
• Date of birth
• A secure password

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Restricting access to your account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to or use of your account

5. USER CONTENT

5.1 Content Ownership

You retain all ownership rights to any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and promoting the Service.

5.2 Content Restrictions

You agree not to post or transmit User Content that:

• Is illegal, fraudulent, deceptive, or misleading
• Infringes upon the rights of others
• Is defamatory, obscene, pornographic, vulgar, or offensive
• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group

6. ACCEPTABLE USE

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
• Uploading viruses, malware, or other malicious code
• Collecting or tracking personal information of other users
• Impersonating another person or entity
• Using the Service in a manner that could disable, overburden, damage, or impair the Service
• Attempting to bypass any measures designed to prevent or restrict access to the Service

6.2 Match and Game Data Integrity

You agree to maintain integrity when recording match and game data. Falsifying scores or statistics is prohibited and may result in account suspension.

7. SUBSCRIPTION AND FEES

7.1 Membership Tiers

We offer different membership tiers (Free, Basic, Premium, Pro) with varying features and benefits. Pricing and details will be provided within the Service.

7.2 Billing

If you choose a paid membership:

• You authorize us to charge the applicable fees to your designated payment method
• All fees are non-refundable except as required by law
• Recurring subscriptions will automatically renew unless canceled before the renewal date
• Payment processing varies by region as outlined in Section 2

7.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing cycle.

8. INTELLECTUAL PROPERTY

The Service and its original content, features, and functionality are owned by SCOREMATIX LTD and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

9. TERMINATION

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion option within the Service.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

9.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete or deactivate your account and all related information and files

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
• ANY ERRORS OR DEFECTS WILL BE CORRECTED
• THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS

11. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE APPLICABLE SERVICE PROVIDER (SCOREMATIX LTD OR CODEKIK TECHNOLOGIES), ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES WHATSOEVER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the applicable service provider and its licensees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. GOVERNING LAW

For Indian Customers: These Terms shall be governed by and construed in accordance with the laws of India.

For International Customers: These Terms shall be governed by and construed in accordance with the laws of England and Wales.

14. DISPUTE RESOLUTION

14.1 For Indian Customers

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before filing a legal claim, you agree to attempt to resolve the dispute informally by contacting CodeKik Technologies.

14.2 For International Customers

Before filing a claim against SCOREMATIX LTD, you agree to attempt to resolve the dispute informally by contacting us. We'll attempt to resolve the dispute informally by contacting you via email.

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Class Action Waiver

ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR WE WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

16. RETURN POLICY AND PROCESS

Digital Product Notice: PickleballScorer is a digital service/software application. As per applicable consumer protection laws for digital products:

• The Service is delivered digitally and begins immediately upon account activation
• No physical goods are shipped or delivered
• Access to premium features begins immediately upon successful payment

16.2 Return Process

Due to the digital nature of our service and immediate access provided, returns are generally not available. However, if you experience technical issues that prevent you from using the Service as described, please contact our customer service team within 7 days of purchase.

16.3 Exceptional Circumstances

We may consider returns in exceptional circumstances such as:

17. REFUND AND DISPUTE POLICY

17.4 Chargeback Policy

Initiating a chargeback without first contacting us may result in immediate account suspension. We reserve the right to dispute illegitimate chargebacks and may pursue collection of fees and costs associated with such disputes.

18. CANCELLATION POLICY

18.1 Annual Membership Terms

• All premium memberships are sold as annual subscriptions
• Cancellation is not permitted during the subscription period
• Access will continue until the end of your paid subscription period
• Subscriptions do not auto-renew unless explicitly opted in

18.2 Account Deactivation

While you cannot cancel your subscription for a refund, you may:

• Stop using the Service at any time
• Delete your account (subscription will remain active until expiry)
• Choose not to renew when your subscription expires

• Promotional pricing is valid only for the specified period
• Promotions cannot be combined with other offers unless explicitly stated
• Promotional subscriptions are subject to the same no-refund and no-cancellation policies

20.2 Discount Codes and Coupons

• Discount codes are single-use unless otherwise specified
• Codes must be applied at the time of purchase
• Expired or invalid codes will not be honored
• We reserve the right to void transactions using fraudulent or unauthorized codes

20.3 Free Trial Periods

If we offer free trial periods:

• Trials are limited to new customers only
• Only one trial per customer/household
• Payment method required for trial activation
• Automatic conversion to paid subscription unless cancelled before trial ends
• Trial cancellation does not entitle you to refunds on subsequent purchases

20.4 Referral Programs

Any referral programs are subject to separate terms and conditions, which will be provided when such programs are launched. Referral rewards are non-transferable and have no cash value.

21. PAYMENT PROCESSING REQUIREMENTS

• International: Stripe (PCI DSS Level 1 compliant)

21.2 Payment Information

We do not store your complete payment information on our servers. Payment details are securely processed and stored by our payment processors in accordance with industry standards.

21.3 Currency and Pricing

• Indian customers: Pricing in INR, processed by CodeKik Technologies
• International customers: Pricing in USD or local currency, processed by SCOREMATIX LTD
• All prices include applicable taxes where required by law
• Exchange rates (if applicable) are determined by the payment processor

22. CHANGES TO TERMS

We may modify or update these Terms from time to time. If we make material changes, we will notify you through the Service or by other means, such as email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of such changes.

For significant changes affecting your rights or obligations, we will provide at least 30 days' notice before the changes take effect.

23. ELECTRONIC COMMUNICATIONS

By using the Service, you consent to receive electronic communications from us, including service-related notifications, administrative messages, and promotional communications. You may opt out of promotional communications but cannot opt out of essential service communications.
